Neptune Team Members Terms of Service
Applies To
All freelancers, contractors, and contributors working with or under the Neptune brand.
1. Scope & Definition
By continuing to participate in commissions, asset submissions, or internal projects under the Neptune brand, you agree to the following Terms of Service (“TOS”) in full.
A “Team Member” refers to any freelancer, contractor, or contributor performing services for or on behalf of Neptune — including, but not limited to, building, designing, configuring, developing, or creating content for clients or internal use. These terms apply regardless of payment method or role.
This TOS is an extension of Neptune’s General Terms of Service and is designed to enforce asset protection, brand safety, and operational trust within the team.
2. Communication & Professional Conduct
- Official Communication: All professional communication must occur within the Neptune Discord server. Agreements or discussions made outside the server are not binding.
- Client Contact: Team members must not directly message clients unless instructed by management. All client interaction must take place in designated ticket channels for transparency and oversight.
- Issue Escalation: Any conflict, delay, or concern must be reported immediately to management. Sensitive disputes must not be handled privately.
- Professionalism: Team members are expected to maintain a respectful, helpful, and mature tone at all times. Harassment, manipulation, or toxic behaviour toward clients, teammates, or staff is grounds for immediate removal.
- Inactivity Clause: If you are unresponsive for more than 72 hours during an active commission without prior notice, the project may be reassigned and partial or full payment may be forfeited.
3. Payment Terms
- Upfront Payment: Most commissions require a 50% upfront payment held by Neptune until delivery. Some projects may require 100% upfront depending on scope.
- Payouts: Upon client approval and final payment, team members will receive payment minus a 15% platform fee. Payouts are issued through approved channels within 3–5 business days.
- Refund Policy: If a client cancels before work begins, the upfront payment may be partially refunded. If work has started, refunds do not apply and freelancers will be compensated at Neptune’s discretion.
- Scope & Task Reassignment: Neptune reserves the right to reassign or redistribute project tasks as needed. Freelancers are expected to complete reasonable revisions within the original scope. Scope negotiation with clients is not permitted.
4. Asset Ownership, Licensing & Portfolio Use
Commissioned Projects
- All commissioned assets are classified as work-for-hire and are the intellectual property of Neptune.
- Clients receive exclusive usage rights but not ownership of source files or underlying designs.
- Team members waive moral rights over commissioned work unless prohibited by law.
Premade Submissions
- Team members retain author credit but grant Neptune exclusive marketing and resale rights for all premade assets submitted.
- Submitted assets may not be sold, reposted, or distributed on any other platform (including personal stores) unless explicitly released in writing.
- Distributed assets may contain invisible or encrypted tracking markers. Attempts to bypass or remove these protections are violations of this TOS.
Portfolios
- Client commissions and premades may not be used in personal portfolios or marketing materials without written permission, including screenshots or previews.
Third-Party Content & Tools
- All submitted work must be original or created using tools and assets with full commercial rights.
- AI-generated content, cracked software, unlicensed models or plugins, and reused public assets are strictly prohibited. Team members are responsible for any copyright issues.
5. Violations, Enforcement & Blacklisting
Violations may result in immediate removal, payment forfeiture, and license revocation, including but not limited to:
- Ghosting or abandoning a project without notice
- Harassment or hostile behaviour toward clients or staff
- Sharing Neptune assets or materials outside approved channels
- Reusing or reselling submitted assets
- Tampering with licensing or watermark systems
- Attempting to bypass Neptune to work directly with clients
- Filing chargebacks or misrepresenting project progress
Payment Withholding Clause
Neptune reserves the right to withhold or cancel payouts for work affected by violations, missed deadlines, or disputes at its sole discretion.
Post-Blacklisting Restrictions
Removed or blacklisted team members may not engage with or offer services to Neptune clients for a minimum of 12 months. Circumvention through alternate accounts or intermediaries constitutes contractual fraud.
6. Non-Compete & Confidentiality
- Team members agree not to solicit or work with Neptune clients independently for similar services for at least 6 months after their last Neptune project.
- All internal tools, documents, discussions, workflows, and production methods are confidential and must not be shared externally.
- Systems, frameworks, and strategies developed within Neptune are considered protected trade knowledge.
7. Alignment with Neptune General Terms
These Team Member Terms operate as an extension of Neptune’s General Terms of Service. Where applicable, all rules regarding licensing, client interaction, usage rights, and enforcement apply fully.
In the event of conflict, the interpretation that best protects Neptune’s rights, intellectual property, and brand will prevail.
8. Legal Jurisdiction
This agreement is governed by the laws of [Insert Country or State]. Any disputes will be resolved under this jurisdiction. By continuing to work under Neptune, you agree to this legal framework.
